Sample BY-LAWS for an NGO

 


BYE-LAWS OF [NAME OF NGO]


ARTICLE I: NAME

The name of this Non-Government Organization (NGO) shall be [NAME OF NGO].


ARTICLE II: OBJECTIVE

The objective of [NAME OF NGO] is to raise legal awareness and provide legal support to rape victims. The organization will engage in activities aimed at educating the public about their rights and the legal processes related to sexual assault, providing free legal services to survivors, advocating for just laws and policies, raising awareness about the issue, conducting research, and building partnerships with other organizations and stakeholders.


ARTICLE III: OFFICE

The office of [NAME OF NGO] shall be located at [ADDRESS]. The organization may change its office location as the need arises, subject to the approval of the Executive Committee.


ARTICLE IV: MEMBERSHIP


Section 1: Types of Membership

[NAME OF NGO] shall have two types of membership:

a. Individual Membership: Open to any person who supports the objectives of the organization and who is willing to contribute to its activities.

b. Institutional Membership: Open to organizations that support the objectives of [NAME OF NGO] and who are willing to work in partnership with the organization.


Section 2: Application for Membership

Any person or organization interested in becoming a member of [NAME OF NGO] shall submit a written application to the Executive Committee. The Executive Committee shall review the application and make a recommendation to the General Assembly, which shall have the final say on membership.


Section 3: Termination of Membership

Membership in [NAME OF NGO] may be terminated by the Executive Committee for any of the following reasons:

a. Failure to pay annual dues.

b. Failure to comply with the bye-laws of the organization.

c. Engaging in activities that are detrimental to the objectives of [NAME OF NGO].


ARTICLE V: GOVERNANCE


Section 1: General Assembly

The General Assembly shall be the highest governing body of [NAME OF NGO] and shall consist of all members. The General Assembly shall meet at least once a year and shall have the power to make decisions on all matters affecting the organization.


Section 2: Executive Committee

The Executive Committee shall be responsible for the day-to-day operations of [NAME OF NGO] and shall consist of the following officers:

a. President

b. Vice President

c. Secretary

d. Treasurer


The Executive Committee shall be elected by the General Assembly for a term of two years and may be re-elected for additional terms.


Section 3: Duties of the Executive Committee

The Executive Committee shall have the following duties:

a. Implement the decisions of the General Assembly.

b. Prepare the annual budget of [NAME OF NGO].

c. Approve expenditures and manage the financial resources of the organization.

d. Hire and manage staff, as needed.

e. Prepare reports on the activities and financial status of [NAME OF NGO].


ARTICLE VI: FINANCES

Section 1: Sources of Funds

The funds of [NAME OF NGO] shall be derived from the following sources:

a. Annual dues from members.

b. Donations from individuals and organizations.

c. Grants from government and non-government organizations.

d. Income from fundraising activities.


Section 2: Financial Year

The financial year of [NAME OF NGO] shall be from January 1 to December 31 of each year.


ARTICLE VII : AUDITING

The accounts of [NAME OF NGO] shall be audited annually by an independent auditor. The auditor's report shall be presented to the General Assembly at its annual meeting.


ARTICLE VIII: AMENDMENTS

These bye-laws may be amended by a two-thirds vote of the members present at a General Assembly meeting, provided that the proposed amendments have been submitted in writing to the members at least 30 days prior to the meeting.


ARTICLE IX: DISSOLUTION

In the event of the dissolution of [NAME OF NGO], any assets remaining after the payment of all debts and liabilities shall be transferred to another non-profit organization with similar objectives as determined by the Executive Committee.


ARTICLE X: INTERPRETATION

In the event of any ambiguity or conflict between the provisions of these bye-laws and any other document of [NAME OF NGO], the provisions of these bye-laws shall prevail.


ARTICLE XI: EFFECTIVITY

These bye-laws shall become effective upon their approval by the General Assembly.
